Velocity Partners International helps companies structure their businesses and carry out agreed work, including preparation for seed funding and other financing discussions. An engagement may combine strategy, operational support and technology implementation.
Fixed fees, with an agreed cash-and-shares split
Professional fees are agreed for a defined scope. They are not calculated as a percentage of the capital raised. A fee may be settled through a combination of cash and company shares, with the allocation and timing set out in the engagement agreement.
A percentage of a fee settled in shares is not the same as that percentage of company ownership. Share valuation and ownership terms are agreed separately, including the number and class of shares.
Upfront time is not free work
VPI executives may contribute their own time before cash payment is due. The company remains liable for the agreed fees even when payment is deferred. An unsuccessful or delayed funding round does not, by itself, remove that obligation.
VPI does not pay the company’s suppliers, employees or other advisers on the company’s behalf. Those costs remain separate from the professional fee arrangement.
No guaranteed funding or transaction
Preparation work does not guarantee investment, a listing, regulatory approval, a sale or profitability. Those outcomes depend on the company’s circumstances and decisions made by investors, counterparties or authorities.
